(SONOROUS ZEN အဖွဲ့ဝင် သဘောတူညီချက်)

ဤအဖွဲ့ဝင် သဘောတူညီချက် ("သဘောတူညီချက်") ကို Sonorous Zen LLC ("Sonorous Zen"၊ "ကျွန်ုပ်တို့"၊ သို့မဟုတ် "ကုမ္ပဏီ") နှင့် အနုပညာရှင်ဖြစ်သော သင် ("သင်"၊ "သင့်၏" သို့မဟုတ် "အဖွဲ့ဝင်") တို့အကြား ချုပ်ဆိုထားခြင်း ဖြစ်သည်။ Sonorous Zen တွင် အကောင့်ဖွင့်ခြင်း သို့မဟုတ် အကြောင်းအရာများ (Content) ဖြန့်ချိခြင်းအားဖြင့် သင်သည် အောက်ပါ စည်းကမ်းချက်များကို သဘောတူလက်ခံပါသည်။

၁။ အဖွဲ့ဝင် အကောင့်ဆိုင်ရာ အင်္ဂါရပ်များ (Member Account Features) သင်သည် အောက်ပါတို့ကို ရရှိနိုင်ပါသည် -

• သင့်တေးသီချင်းများ (Catalog) အတွက် သီးသန့် အကူအညီ (Support) ရယူနိုင်ခြင်း။

• သီချင်းဖြန့်ချိမှုများအား ဦးစားပေး စစ်ဆေးပေးခြင်းနှင့် ပိုမိုမြန်ဆန်သော ပေးပို့ချိန်များ။

• စတိုးဆိုင်အသစ်များနှင့် ဖြန့်ချိရေး မိတ်ဖက်များ ရရှိလာပါက စောစီးစွာ ဝင်ရောက်ခွင့်ရခြင်း။

• အရည်အချင်းပြည့်မီသော DSP (Digital Service Providers) မိတ်ဖက်များထံ ဦးစားပေး တင်ပြခွင့် (အာမခံချက် မရှိပါ)။

• (မှတ်ချက် - လက်ရှိအချိန်တွင် Dashboard ၌ Stream data နှင့် Analytics များကို ကြည့်ရှုနိုင်ခြင်း မရှိသေးပါ။)

• စမ်းသပ်ဆဲ လုပ်ဆောင်ချက်များ (Beta features)၊ ကိရိယာများနှင့် အဆင့်မြှင့်တင်မှုများအား အသုံးပြုခွင့်။

• ကုမ္ပဏီ၏ ဆုံးဖြတ်ချက်ဖြင့် Sonorous Zen ၏ ချန်နယ်များတွင် ဈေးကွက်မြှင့်တင်ရေး အခွင့်အလမ်းများ။

• Sonorous Zen ၏ DSP စာချုပ်များ ("စာချုပ်များ") မှတစ်ဆင့် သင့်အကြောင်းအရာများကို ဖြန့်ချိခြင်း။

ဤအင်္ဂါရပ်များသည် အာမခံချက်မရှိဘဲ ကုမ္ပဏီ၏ သဘောဆန္ဒအလျောက် အချိန်မရွေး ပြောင်းလဲနိုင်သည်။

၂။ သက်တမ်း နှင့် စာချုပ်ရပ်စဲခြင်း (Term & Termination) (က) သက်တမ်း သင်သည် သင်၏ အနုပညာရှင် အဖွဲ့ဝင် အကောင့် (Artist Member Account) ကို စတင်ပြုလုပ်သည့်နေ့မှစ၍ အကျိုးသက်ရောက်မှုရှိပြီး တစ်ဖက်ဖက်မှ ရပ်စဲခြင်း မပြုမချင်း ဆက်လက် တည်ရှိနေမည် ဖြစ်သည်။

(ခ) အဖွဲ့ဝင်မှ ရပ်စဲခြင်း သင်သည် အကောင့်ပိတ်သိမ်းရန် အချိန်မရွေး တောင်းဆိုနိုင်သည်။ ရပ်စဲပြီးနောက် -

• သင့်တေးသီချင်းများ (Catalog) ကို ဖြုတ်ချပေးရန် တောင်းဆိုနိုင်သည်။

• Sonorous Zen သည် သင့်တေးသီချင်းများကို လုပ်ငန်းသဘောအရ သင့်လျော်သော အချိန်ကာလအတွင်း ဖြုတ်ချပေးမည် ဖြစ်သည်။

(ဂ) ကုမ္ပဏီမှ ရပ်စဲခြင်း အောက်ပါအချက်များ ဖြစ်ပေါ်ပါက Sonorous Zen သည် သင့်အကောင့်ကို ချက်ချင်း ဆိုင်းငံ့ခြင်း သို့မဟုတ် ရပ်စဲခြင်း ပြုလုပ်နိုင်သည် -

• သင်သည် ဤသဘောတူညီချက် သို့မဟုတ် ကုမ္ပဏီ မူဝါဒများကို ချိုးဖောက်ခြင်း။

• မူပိုင်ခွင့် ချိုးဖောက်သော သို့မဟုတ် ခွင့်ပြုချက်မရှိသော အကြောင်းအရာများကို တင်ခြင်း။

• လိမ်လည်မှု သို့မဟုတ် ဇယား (Chart) ကစားခြင်းများ ပြုလုပ်ခြင်း။

• ကဏ္ဍ (၉) ကို ချိုးဖောက်၍ AI ဖန်တီးထားသော ဂီတကို တင်ခြင်း။

• ဥပဒေရေးရာ တောင်းဆိုမှုများ သို့မဟုတ် အခွင့်အရေး အငြင်းပွားမှုများကို ဖြေရှင်းရန် ပျက်ကွက်ခြင်း။

စာချုပ်ရပ်စဲခြင်းတွင် သင့်တေးသီချင်း (Catalog) တစ်ခုလုံးအား ဖြုတ်ချခြင်းနှင့် အမြဲတမ်း ပိတ်ပင်ခြင်း (Permanent ban) တို့ ပါဝင်နိုင်သည်။

၃။ ငွေပေးချေမှုများနှင့် မူပိုင်ခွင့်ကြေးများ (Payments & Royalties) (က) ဖြန့်ချိရေး ဝန်ဆောင်ခ (Distribution Fee) သင်ဖြန့်ချိသော အကြောင်းအရာများနှင့် ပတ်သက်၍ အမှန်တကယ် ရရှိသော မူပိုင်ခွင့်ကြေးများ၏ ၈၅% ကို အဖွဲ့ဝင် (သင်) က ရရှိပါမည်။

(ခ) မလှုပ်ရှားသော အကောင့်ဆိုင်ရာ မူဝါဒ (Inactive Account Policy) အကယ်၍ သင်သည် ၆ လ (6 months) ဆက်တိုက် သီချင်းအသစ် ဖြန့်ချိခြင်း မရှိပါက၊ သင့်အကောင့်အား "မလှုပ်ရှားသော အကောင့်" (Inactive Account) အဖြစ် သတ်မှတ်မည်ဖြစ်သည်။ ထိုသို့ ဖြစ်ပေါ်လာပါက သင်ရရှိမည့် မူပိုင်ခွင့်ကြေး ဝေစုမှာ ၈၀% သို့ ပြောင်းလဲသွားပါမည်။

(ဂ) ငွေထုတ်ယူခြင်း (Payouts) ငွေပေးချေမှုများသည် သင့် Dashboard တွင် ဖော်ပြထားသော ငွေပေးချေမှု အချိန်ဇယားအတိုင်း ဖြစ်ပါမည်။ Sonorous Zen သည် အောက်ပါအခြေအနေများတွင် ငွေပေးချေမှုကို ဆိုင်းငံ့ထားနိုင်သည် -

• လိမ်လည်မှု ရှိသည်ဟု သံသယဖြစ်ခြင်း၊

• အခွင့်အရေးဆိုင်ရာ အငြင်းပွားမှုများ ဖြစ်ပေါ်ခြင်း၊

• သင့်အကောင့် မပြည့်စုံခြင်း သို့မဟုတ် အတည်ပြုချက် မရရှိသေးခြင်း၊

• DSP များမှ ဝင်ငွေများကို ဆိုင်းငံ့ထားခြင်း။

(ဃ) လက်ကျန်ငွေ မလုံလောက်ခြင်း (Insufficient Funds) အကယ်၍ DSP များမှ ငွေပြန်လည်တောင်းခံခြင်း (Reclaim) ကြောင့် သင့်အကောင့် လက်ကျန်ငွေ အနှုတ်ပြပါက၊ အဆိုပါ ပမာဏကို သင်က ချက်ချင်း ပြန်လည်ပေးဆပ်ရပါမည်။

၄။ အာမခံချက်များနှင့် ဝန်ခံချက်များ (Representations & Warranties) သင်သည် အောက်ပါတို့ကို ကိုယ်စားပြု၍ အာမခံပါသည် -

• သင်သည် ဤသဘောတူညီချက်ကို ချုပ်ဆိုရန် အပြည့်အဝ လုပ်ပိုင်ခွင့်နှင့် အခွင့်အာဏာ ရှိသည်။

• Master များ၊ အနုပညာလက်ရာများ (Artwork)၊ တေးဖွဲ့စည်းမှုများနှင့် Metadata များ အပါအဝင် သင်တင်သော အကြောင်းအရာတိုင်းအတွက် လိုအပ်သော အခွင့်အရေးများအားလုံးကို သင် ပိုင်ဆိုင်သည် (သို့မဟုတ်) ထိန်းချုပ်ထားသည်။

• သင်၏ အကြောင်းအရာများသည် -

  • မူပိုင်ခွင့်များ သို့မဟုတ် ကုန်အမှတ်တံဆိပ်များကို ချိုးဖောက်ခြင်း မရှိပါ။

  • စာချုပ်ပါ တာဝန်များကို ချိုးဖောက်ခြင်း မရှိပါ။

  • ခွင့်ပြုချက်မရှိသော နမူနာယူခြင်း (Samples) သို့မဟုတ် ပြန်လည်ပြုပြင်ခြင်းများ မပါဝင်ပါ။

  • မည်သည့် တတိယအဖွဲ့အစည်း၏ အခွင့်အရေးကိုမျှ ချိုးဖောက်ခြင်း မရှိပါ။

ဖြန့်ချိခြင်း မပြုမီ အခွင့်အရေးအားလုံးကို ရှင်းလင်းရန် သင့်တွင်သာ တာဝန်ရှိကြောင်း သင် အသိအမှတ်ပြုပါသည်။

၅။ လျော်ကြေးပေးခြင်း နှင့် တာဝန်ယူခြင်း (Indemnification) အောက်ပါတို့ကြောင့် ဖြစ်ပေါ်လာသော တောင်းဆိုမှုများ၊ ပျက်စီးဆုံးရှုံးမှုများ၊ တာဝန်များနှင့် ကုန်ကျစရိတ်များအားလုံးအတွက် Sonorous Zen အား အန္တရာယ်ကင်းရှင်းစေရန်နှင့် လျော်ကြေးပေးရန် သင် သဘောတူပါသည် -

• သင်က ဤသဘောတူညီချက်ကို ချိုးဖောက်ခြင်း၊

• သင် ဖြန့်ချိသော အကြောင်းအရာများ၊

• သင်၏ လုပ်ဆောင်ချက်များ သို့မဟုတ် ပျက်ကွက်မှုများ၊

• မူပိုင်ခွင့်ချိုးဖောက်ခြင်း သို့မဟုတ် ခွင့်ပြုချက်မဲ့ အသုံးပြုခြင်းဆိုင်ရာ တောင်းဆိုမှုများ။

၆။ တားမြစ်ထားသော အပြုအမူ နှင့် လိမ်လည်မှုဆိုင်ရာ မူဝါဒ (Prohibited Conduct & Fraud Policy) သင်သည် အောက်ပါတို့ကို မပြုလုပ်ရန် သဘောတူပါသည် -

• Streaming လိမ်လည်မှု၊ Playlist အတုအယောင်ဖန်တီးမှု၊ Bot plays၊ Click farms သို့မဟုတ် DSP စနစ်ကို လှည့်စားခြင်း။

• ထပ်တူကျသော အကြောင်းအရာများ (Duplicated content) သို့မဟုတ် ခွင့်ပြုချက်မရှိသော Cover သီချင်းများ တင်ခြင်း။

• မှားယွင်းသော Metadata သို့မဟုတ် အနုပညာရှင်အတုများ တင်ခြင်း။

• အနုပညာရှင်အစစ်များကို အယောင်ဆောင်ရန် ခိုးယူထားသော သို့မဟုတ် AI ဖန်တီးထားသော အသံများကို အသုံးပြုခြင်း။

• စည်းမျဉ်းများကို ရှောင်ကွင်းရန် အကောင့်များစွာ ဖန်တီးခြင်း။

ချိုးဖောက်မှုများအတွက် အောက်ပါတို့ ဖြစ်ပေါ်နိုင်သည် -

• မူပိုင်ခွင့်ကြေး ဆိုင်းငံ့ခြင်း၊

• တေးသီချင်း (Catalog) တစ်ခုလုံးကို ဖယ်ရှားခြင်း၊

• DSP များသို့ တိုင်ကြားခြင်း၊

• အမြဲတမ်း ပိတ်ပင်ခြင်း (Permanent ban)။

၇။ အကြောင်းအရာဆိုင်ရာ စံချိန်စံညွှန်းများ (Content Standards) အကြောင်းအရာအားလုံးသည် အောက်ပါတို့နှင့် ကိုက်ညီရမည် -

• မူပိုင်ခွင့် ဥပဒေများ

• DSP လမ်းညွှန်ချက်များ

• Sonorous Zen ၏ အကြောင်းအရာ အရည်အသွေး စံချိန်စံညွှန်းများ

• Metadata တိကျမှန်ကန်မှု လိုအပ်ချက်များ

Sonorous Zen သည် မည်သည့် တင်ပြမှုကိုမဆို ပယ်ချခြင်း၊ ပြင်ဆင်ခြင်း သို့မဟုတ် ပြန်လည်ပြင်ဆင်ရန် တောင်းဆိုခြင်းများ ပြုလုပ်နိုင်သည်။

၈။ ကုမ္ပဏီ မူဝါဒများ (လိုက်နာရန် အာမခံခြင်း) ဤသဘောတူညီချက်ကို လက်မှတ်ရေးထိုးခြင်းအားဖြင့် သင်သည် အောက်ပါ Sonorous Zen မူဝါဒများအားလုံးကို ဖတ်ရှုပြီး သဘောတူကြောင်း အတည်ပြုပါသည် -

• ဝန်ဆောင်မှုဆိုင်ရာ စည်းကမ်းသတ်မှတ်ချက်များ (Terms of Service)

• ပုဂ္ဂိုလ်ရေးဆိုင်ရာ မူဝါဒ (Privacy Policy)

• လိမ်လည်မှုနှင့် အလွဲသုံးစားပြုမှု တိုက်ဖျက်ရေး မူဝါဒ (Anti-Fraud & Misuse Policy)

• အကြောင်းအရာ ပေးပို့ခြင်းနှင့် Metadata မူဝါဒ

• မူပိုင်ခွင့်နှင့် အခွင့်အရေး စီမံခန့်ခွဲမှု မူဝါဒ

• မူပိုင်ခွင့်ကြေးနှင့် ငွေပေးချေမှု မူဝါဒ

ပဋိပက္ခ တစ်စုံတစ်ရာ ဖြစ်ပေါ်ပါက၊ အခြားနည်းဖြင့် ဖော်ပြထားခြင်း မရှိလျှင် ဤသဘောတူညီချက်က အတည်ဖြစ်သည်။

၉။ AI ဖန်တီးထားသော တေးဂီတဆိုင်ရာ မူဝါဒ (တင်းကျပ်စွာ တားမြစ်ခြင်း) (က) AI ဂီတ ခွင့်မပြုပါ Sonorous Zen သည် AI ဖန်တီးထားသော ဂီတ၊ AI အသံများ၊ AI covers၊ AI clones သို့မဟုတ် Generative AI ကိရိယာများကို အဓိကအသုံးပြုထားသော အကြောင်းအရာများကို ခွင့်မပြုပါ။ သို့သော် အောက်ပါအချက်များ ရှိလျှင် ခြွင်းချက်ရှိသည် -

• ၁၀၀% တရားဝင် အခွင့်အရေးများ ရှိခြင်း၊

• AI အစိတ်အပိုင်းအားလုံး၏ ပိုင်ဆိုင်မှုကို သက်သေပြနိုင်သော စာရွက်စာတမ်းများ ရှိခြင်း၊

• AI မော်ဒယ်သည် မူပိုင်ခွင့်ရှိသော အရာများကို တရားမဝင် အသုံးမပြုထားကြောင်း သက်သေအထောက်အထား ရှိခြင်း။

(ခ) ခွင့်ပြုချက်မဲ့ AI အကြောင်းအရာ၏ အကျိုးဆက်များ အကယ်၍ သင်သည် သင့်လျော်သော အခွင့်အရေးများမရှိဘဲ AI ဖန်တီးထားသော အကြောင်းအရာများကို တင်ပါက -

• သင့်တေးသီချင်း (Catalog) တစ်ခုလုံးကို ဖြုတ်ချခံရနိုင်သည်။

• သင့်အကောင့်ကို အမြဲတမ်း ပိတ်ပင် (Permanently banned) နိုင်သည်။

• DSP များက သင့်ကို Blacklist သွင်းပြီး ယခင် မူပိုင်ခွင့်ကြေးများကို ပြန်လည်တောင်းခံနိုင်သည်။

• ပျက်စီးဆုံးရှုံးမှုများ၊ တောင်းဆိုမှုများနှင့် အငြင်းပွားမှုများအတွက် တရားဥပဒေအရ တာဝန်အပြည့်အဝ ယူရမည်ဟု သင် လက်ခံပါသည်။

ဤမူဝါဒကို သင်ချိုးဖောက်မှုကြောင့် ဖြစ်ပေါ်လာသော ပြစ်ဒဏ်များအတွက် Sonorous Zen တွင် တာဝန်မရှိကြောင်း သင် သဘောတူပါသည်။

၁၀။ ဒေတာ၊ အစီရင်ခံခြင်း နှင့် မူပိုင်ခွင့်ကြေး တိကျမှု DSP မှ ပေးပို့သော ဝင်ငွေအစီရင်ခံစာများသည် အောက်ပါတို့ကြောင့် ပြောင်းလဲနိုင်သည် -

• ညှိနှိုင်းမှုများ (Adjustments)၊

• လိမ်လည်မှု ရှာဖွေတွေ့ရှိခြင်း၊

• ပြန်လည်တောင်းခံခြင်းများ (Reclaims)၊

• ဖြုတ်ချခြင်းများ (Takedowns)၊

• နယ်မြေ ကန့်သတ်ချက်များ။

Sonorous Zen သည် DSP အမှားအယွင်းများ၊ အစီရင်ခံခြင်း နှောင့်နှေးမှုများ သို့မဟုတ် ၎င်း၏ ထိန်းချုပ်မှုပြင်ပရှိ မူဝါဒပြောင်းလဲမှုများအတွက် တာဝန်မရှိပါ။

၁၁။ အလုံးစုံ သဘောတူညီချက် (Entire Agreement) ဤသဘောတူညီချက်သည် သင်နှင့် Sonorous Zen အကြား ပြီးပြည့်စုံသော နားလည်မှုကို ကိုယ်စားပြုပါသည်။ အကယ်၍ အပိုင်းတစ်ပိုင်းသည် တရားမဝင် ဖြစ်နေပါက ကျန်ရှိသော အပိုင်းများသည် ဆက်လက် အတည်ဖြစ်သည်။

၁၂။ အသိအမှတ်ပြုခြင်း (Acknowledgment) သင်သည် အောက်ပါတို့ကို အသိအမှတ်ပြုပါသည် -

• ဤသဘောတူညီချက်ကို ဖတ်ရှုပြီး နားလည်သဘောပေါက်ပါသည်။

• ဥပဒေကြောင်းအရ အကြံဉာဏ်ရယူရန် အကြံပြုထားခြင်းရှိပါသည်။

• ထိုသို့ဆောင်ရွက်ရန် ဝန်ခံခဲ့ပါသည်။

• ဤသဘောတူညီချက်ကို မိမိသဘောဆန္ဒအလျောက် ဝင်ရောက်ချုပ်ဆိုပါသည်။
  
  

၁၃။ အီလက်ထရောနစ် လက်မှတ် (Electronic Signature) ဒစ်ဂျစ်တယ် လက်မှတ်များ၊ အီလက်ထရောနစ် နည်းလမ်းဖြင့် လက်ခံခြင်း သို့မဟုတ် သဘောတူညီချက် အကွက် (Agreement box) ကို အမှန်ခြစ်ခြင်းသည် ရုပ်ပိုင်းဆိုင်ရာ စာချုပ်ကို လက်မှတ်ရေးထိုးခြင်းနှင့် ညီမျှပြီး စည်းနှောင်မှု ရှိပါသည်။

SONOROUS ZEN MEMBER AGREEMENT

This Member Agreement (“Agreement”) is entered into between Sonorous Zen LLC (“Sonorous Zen,” “we,” “us,” or “Company”) and you, the Artist (“You,” “Your,” or “Member”). By registering an account or distributing content through Sonorous Zen, You agree to the following terms.

1. Member Account Features You may receive access to:

• Dedicated support access for your catalog.

• Release review prioritization and improved delivery times.

• Early access to new stores and distribution partners as available.

• Priority pitching to qualified DSP partners (not guaranteed).

• (Note: Stream data, catalog insights, and analytics are currently unavailable in the dashboard.)

• Access to beta features, tools & upgrades.

• Marketing opportunities across Sonorous Zen’s channels at Company discretion.

• Distribution of your Content through Sonorous Zen’s DSP contracts (“Contracts”).

These features are not guaranteed and may change at any time at the Company’s discretion.

2. Term & Termination A. Term Effective from the date You create your Artist Member account and continues until terminated by either party.

B. Member Termination You may request account closure at any time. Upon termination:

• You may request takedowns of your catalog.

• Sonorous Zen will issue takedowns within a commercially reasonable timeframe.
  
  

C. Company Termination Sonorous Zen may suspend or terminate your account immediately if:

• You violate this Agreement or Company Policies.

• You upload infringing or unauthorized content.

• You commit fraud or chart manipulation.

• You upload AI-generated music in violation of Section 9.

• You fail to resolve legal claims or rights disputes.

Termination may include full catalog takedown and a permanent ban.

3. Payments & Royalties A. Distribution Fee You will keep 85% of actual royalties received in connection with Your distributed content.

B. Inactive Account Policy If You do not release new content for a consecutive period of six (6) months, Your account will be classified as an "Inactive Account." Upon this classification, Your royalty share will be adjusted, and You will keep 80% of actual royalties until the account status is reactivated by new releases.

C. Payouts Payments will follow the payout schedule displayed in your dashboard. Sonorous Zen may withhold payment if:

• Fraud is suspected,

• Rights disputes occur,

• Your account is incomplete or unverified,

• DSPs place earnings on hold.
  
  

D. Insufficient Funds If DSPs reclaim funds and your account becomes negative, You must repay the amount immediately.

4. Representations & Warranties You represent and warrant that:

• You have the full right and authority to enter this Agreement.

• You own or control all necessary rights for every asset you upload, including masters, artwork, compositions, and metadata.

• Your content does not:

  • infringe copyrights or trademarks,

  • violate contractual obligations,

  • contain unauthorized samples or interpolations,

  • breach any third-party rights.

You acknowledge that You are solely responsible for clearing all rights before distribution.

5. Indemnification You agree to indemnify, defend, and hold Sonorous Zen harmless from all claims, damages, liabilities, and expenses arising from:

• Your breach of this Agreement,

• Your distributed content,

• Your actions or omissions,

• Any claims of infringement or unauthorized use.
  
  

6. Prohibited Conduct & Fraud Policy You agree not to:

• Engage in streaming fraud, playlist manipulation, bot plays, click farms, or DSP gaming.

• Upload duplicated content or unauthorized covers.

• Upload misleading metadata or fake artists.

• Use stolen or AI-generated voices to impersonate real artists.

• Create multiple accounts to bypass rules.

Violation may result in:

• Royalty withholding,

• Full catalog removal,

• Reporting to DSPs,

• Permanent ban.
  
  

7. Content Standards All content must comply with:

• Copyright laws

• DSP guidelines

• Sonorous Zen’s Content Quality Standards

• Metadata Accuracy Requirements

Sonorous Zen may reject, edit, or require correction of any submission.

8. Company Policies (Binding) By signing this Agreement, You affirm that You have read and agree to all Sonorous Zen Policies, including:

• Terms of Service

• Privacy Policy

• Anti-Fraud & Misuse Policy

• Content Delivery & Metadata Policy

• Copyright & Rights Management Policy

• Royalty & Payment Policy

If any conflict arises, this Agreement will control unless otherwise stated.

9. AI-Generated Music Policy (Strict Prohibition) A. No AI-Generated Music Allowed Sonorous Zen does not permit AI-generated music, AI vocals, AI covers, AI clones, or content made primarily using generative AI tools unless You have:

• 100% legal rights,

• Documentation proving ownership of all AI elements,

• Proof that the AI model did not use copyrighted material illegally.
  
  

B. Unauthorized AI Content Consequences If You upload AI-generated content without proper rights:

• Your entire catalog may be taken down.

• Your account may be permanently banned.

• DSPs may blacklist You and reclaim previous royalties.

• You accept full legal responsibility for damages, claims, and disputes.

You agree that Sonorous Zen is not liable for any penalties resulting from Your violation of this policy.

10. Data, Reporting & Royalty Accuracy DSP-reported earnings may change due to:

• Adjustments,

• Fraud detection,

• Reclaims,

• Takedowns,

• Territory restrictions.

Sonorous Zen is not responsible for DSP errors, reporting delays, or policy changes outside its control.

11. Entire Agreement This Agreement represents the complete understanding between You and Sonorous Zen. If one section is invalid, the remaining sections stay in effect.

12. Acknowledgment YOU ACKNOWLEDGE THAT YOU HAVE:

• READ AND UNDERSTOOD THIS AGREEMENT,

• BEEN ADVISED TO SEEK LEGAL COUNSEL,

• HAD THE OPPORTUNITY TO DO SO,

• ENTER INTO THIS AGREEMENT VOLUNTARILY.
  
  

13. Electronic Signature Digital signatures, electronic acceptance, or checking an agreement box is binding and equivalent to signing a physical contract.
